  10. RIVERBANK COMPUTING LIMITED LICENSE AGREEMENT FOR SIP 4.0

  12. 1. This LICENSE AGREEMENT is between Riverbank Computing Limited
  13. ("Riverbank"), and the Individual or Organization ("Licensee") accessing
  14. and otherwise using SIP 4.0 software in source or binary form and its
  15. associated documentation.
  16.  
  17. 2. Subject to the terms and conditions of this License Agreement, Riverbank
  18. hereby grants Licensee a nonexclusive, royalty-free, world-wide license
  19. to reproduce, analyze, test, perform and/or display publicly, prepare
  20. derivative works, distribute, and otherwise use SIP 4.0 alone or in
  21. any derivative version, provided, however, that Riverbank's License
  22. Agreement and Riverbank's notice of copyright, i.e., "Copyright (c) 2004
  23. Riverbank Computing Limited; All Rights Reserved" are retained in
  24. SIP 4.0 alone or in any derivative version prepared by Licensee.

  26. 3. In the event Licensee prepares a derivative work that is based on
  27. or incorporates SIP 4.0 or any part thereof, and wants to make
  28. the derivative work available to others as provided herein, then
  29. Licensee hereby agrees to include in any such work a brief summary of
  30. the changes made to SIP 4.0.

  32. 4. Riverbank is making SIP 4.0 available to Licensee on an "AS IS"
  33. basis.  RIVERBANK MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR
  34. IMPLIED.  BY WAY OF EXAMPLE, BUT NOT LIMITATION, RIVERBANK MAKES NO AND
  35. DISCLAIMS ANY REPRESENTATION OR WARRANTY OF MERCHANTABILITY OR FITNESS
  36. FOR ANY PARTICULAR PURPOSE OR THAT THE USE OF SIP 4.0 WILL NOT
  37. INFRINGE ANY THIRD PARTY RIGHTS.

  39. 5. RIVERBANK SHALL NOT BE LIABLE TO LICENSEE OR ANY OTHER USERS OF
  40. SIP 4.0 FOR ANY INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR LOSS
  41. AS A RESULT OF MODIFYING, DISTRIBUTING, OR OTHERWISE USING SIP 4.0,
  42. OR ANY DERIVATIVE THEREOF, EVEN IF ADVISED OF THE POSSIBILITY THEREOF.

  44. 6. This License Agreement will automatically terminate upon a material
  45. breach of its terms and conditions.

  47. 7. Nothing in this License Agreement shall be deemed to create any
  48. relationship of agency, partnership, or joint venture between Riverbank
  49. and Licensee.  This License Agreement does not grant permission to use
  50. Riverbank trademarks or trade name in a trademark sense to endorse or
  51. promote products or services of Licensee, or any third party.

  53. 8. By copying, installing or otherwise using SIP 4.0, Licensee
  54. agrees to be bound by the terms and conditions of this License Agreement.
  55.
